01
Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client", "you", or "your") and WEBDIPO ("we", "us", "our", or "the Agency"), a product engineering collective operating from Coimbatore, Tamil Nadu, India.
By commissioning engineering work, approving a Statement of Work (SOW), executing an estimate, or using our web properties (webdipo.in), you agree to be bound by these Terms and our companion Privacy Policy.
02
Engineering Scope & Sprints
WEBDIPO provides technical engineering services across web application development, mobile applications (iOS/Android), artificial intelligence integrations, and DevOps cloud infrastructure.
Statements of Work (SOW): Specific deliverables, architectural specifications, sprint intervals, and acceptance criteria will be memorialized in written project proposals, sprints backlogs, or formal SOW documents.
Sprint Progression: Work is delivered in transparent iterative cycles. Client stakeholders receive functional staging environments, interactive video walkthroughs, or git pull requests for verification.
Scope Revisions & Change Orders: Substantial alterations to previously approved features will be scoped, estimated, and agreed upon in writing before engineering implementation to prevent surprise costs.
03
100% IP & Code Ownership
We believe in total client ownership. We do not lock you into proprietary vendor formats or withhold source code:
Work Made for Hire: Upon complete settlement of all milestone invoices corresponding to the agreed deliverable, all worldwide copyrights, intellectual property rights, source code, database architectures, and design tokens created specifically for your product are transferred exclusively to the Client.
Open Source & Third-Party Libraries: Software components may incorporate permissive open-source packages (e.g., MIT, Apache 2.0). These remain subject to their respective licenses.
Agency Tooling & Reusable Utilities: WEBDIPO retains ownership of its pre-existing core starter kits, generic scaffolding templates, and proprietary developer utilities, granting the Client a perpetual, royalty-free license to use them as integrated into the final deliverable.
Zero Hostage GuaranteeYou receive full administrative access to your GitHub repositories, Docker registries, and cloud infrastructure upon project handover. You are never held hostage by proprietary vendor locks.
04
Client Obligations & Assets
Efficient sprint delivery relies on mutual collaboration. As the Client, you agree to:
Provide timely access to necessary third-party API keys, design collateral, corporate assets, and domain DNS records.
Assign a designated decision-maker to review sprint deliverables and provide written feedback or approval within five (5) business days of staging deployment.
Ensure all materials, trademarks, copy, and data provided to WEBDIPO do not infringe upon any third-party intellectual property rights.
05
Payment Terms & Milestone Approval
Payments are structured according to the agreed model (Milestone-based, Diagnostic Sprint, or Monthly Retainer):
Invoicing Currency: Invoices are issued in USD for international clients or INR for Indian domestic clients with applicable Goods & Services Tax (GST).
Payment Schedules: Milestone builds require an initial deposit prior to sprint commencement, with balance tranches triggered strictly upon staging demonstration of agreed deliverables.
Payment Due Window: Milestone invoices are payable within seven (7) business days from presentation via bank wire transfer, Stripe, or direct ACH.
06
30-Day Fix Warranty
We stand behind the craftsmanship of our engineering delivery:
For turnkey product builds, WEBDIPO provides a 30-day post-launch warranty starting from final production deployment. During this window, WEBDIPO will promptly resolve any reproducible software bugs or deviations from the agreed specifications at zero additional charge.
This warranty does not cover issues resulting from third-party API deprecations, unauthorized code modifications made by other developers, browser vendor breaking changes, or hosting infrastructure failures outside our control.
07

WEBDIPO's total aggregate liability arising under any project agreement, contract, or tort shall not exceed the total fees actually received by WEBDIPO from the Client for the specific deliverable or sprint giving rise to the claim during the three (3) months preceding the incident.
09
Termination & Cancellation
Either party may terminate an active project engagement with fourteen (14) days written notice:
Upon termination, the Client shall pay for all completed milestones and prorated engineering work performed up to the date of notice.
